These Terms apply to all visitors, users, clients, partners, and others who access or use our services across all four business divisions: Alliance / Loyalty Client, Digital Marketing, Recruitment & Staffing, and IT Solutions.

2. Services Description

Alliance Platform: AB Horizon Group operates a strategic alliance platform connecting banks, financial institutions, and businesses with lifestyle and loyalty brand partners. Services include loyalty program design, alliance management, offer curation, and reward fulfilment.

Digital Marketing: We provide performance marketing services including Meta Ads management, Google Ads, SEO, content marketing, brand identity, social media management, and analytics. All campaigns are subject to platform terms and advertising policies.

Recruitment & Staffing: We offer permanent placement, contract staffing, staff augmentation, and executive search services. Placements are subject to separate engagement agreements including placement fees, replacement guarantees, and notice periods.

IT Solutions: We deliver web and app development, UI/UX design, cybersecurity, cloud infrastructure, AI/ML development, ERP/CRM implementation, and managed IT support services, each governed by specific project agreements or service level agreements (SLAs).

3. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of AB Horizon Group or its content suppliers and is protected by applicable intellectual property laws.

All deliverables created by AB Horizon Group for clients remain the property of the Company until full payment is received, at which point ownership transfers to the client as agreed in the project contract.

Clients engaging our services agree to:

• Make payments as agreed in the engagement contract or invoice within specified timelines
• Obtain all necessary approvals, licences, and permissions for content or materials provided to us
• Assign a designated point of contact for communication and approvals
• Respect confidentiality obligations regarding our processes, methodologies, and pricing
• Not engage our placed candidates or employees directly without prior written consent for a period of 12 months (applicable to Recruitment services)

5. Payment Terms

Payment terms are specified in individual service agreements or invoices. Unless otherwise agreed in writing, our standard terms are:

• Digital Marketing retainers: payable in advance on a monthly basis
• IT project milestones: 30-50% advance, balance on delivery
• Recruitment fees: due within 15 days of candidate joining date
• Alliance platform setup: as per partnership agreement

Late payments may attract interest at 2% per month. We reserve the right to suspend services for overdue accounts.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary information, trade secrets, business strategies, client data, and technical information disclosed during the engagement. This obligation survives termination of the agreement for a period of 3 years.

7. Limitation of Liability

To the maximum extent permitted by applicable law, AB Horizon Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or business interruption, arising out of or in connection with our services.

Our total aggregate liability to any client shall not exceed the total fees paid by the client to us in the 3 months preceding the claim. This limitation applies regardless of the cause of action or the form of the claim.

8. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or free of viruses. Marketing campaign results, recruitment outcomes, and IT project timelines are estimates and not guaranteed.

9. Termination

Either party may terminate a service engagement with written notice as specified in the individual service agreement (typically 30 days). Upon termination, all outstanding fees become immediately due and payable. We will deliver all completed work product to the client upon receipt of final payment.

We reserve the right to immediately terminate services if a client engages in illegal activity, violates these Terms, or acts in a manner harmful to our business or reputation.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Vadodara, Gujarat, India.

11. Amendments

We reserve the right to modify these Terms at any time. We will notify existing clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
